1. Agreement and scope

These Terms are an agreement between you and Senytics Limited, Hong Kong (“Senytics”, “we”, “us”). By accessing or using a Senytics website, documentation, account, early-access service, hosted platform, or related software (the “Services”), you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind it.

An order, enterprise agreement, data-processing agreement, open-source license, or product-specific term may also apply. More specific signed or presented terms control for their subject matter if they conflict with these baseline Terms.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter this agreement. Account creation may be open, invitation-only, or closed. During controlled access, submitting an application does not guarantee an account, support level, feature, price, or launch date.

Keep account information accurate, protect credentials and recovery factors, use multi-factor authentication where offered or required, and notify Senytics promptly of suspected unauthorized access. You are responsible for activity under your account and for assigning appropriate workspace permissions.

3. Service access and license

Subject to these Terms and any applicable plan or order, Senytics grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal technical or business purposes. You may use documentation to evaluate and operate the Services. This does not transfer ownership of Senytics software, designs, brands, documentation, or other materials.

You may not resell, sublicense, copy, reverse engineer, bypass technical limits, or use non-public interfaces except where a signed agreement, documentation, open-source license, or applicable law expressly permits it.

4. Early access, Beta, Preview, and Planned features

Early-access, Beta, and Preview features may be incomplete, unsupported, changed, rate-limited, or withdrawn. They may not have the same reliability, security review, documentation, or support commitment as generally available functionality. Planned capabilities are directional and are not a promise to ship.

Senytics may ask for feedback, restrict participants, define evaluation milestones, or end access. Unless a separate agreement says otherwise, do not use pre-release functionality for safety-critical, production-critical, regulated, or irreversible operations.

5. Customer content and service data

You retain your rights in content, code, definitions, configurations, and other material you lawfully provide (“Customer Content”). You grant Senytics and its service providers the limited rights needed to host, copy, transmit, transform, build, and otherwise process Customer Content to provide, secure, support, and improve the Services for you.

You are responsible for the legality, accuracy, permissions, licenses, and backups of Customer Content. Do not upload material you do not have the right to use or instruct Senytics to process.

6. Acceptable use and physical-system safety

You must not use the Services to:

  • violate law, sanctions, export controls, intellectual-property rights, privacy rights, or contractual duties;
  • access another account, workspace, project, device, or non-public system without authorization;
  • introduce malware, overload or disrupt the Services, evade limits, scrape protected data, or interfere with security controls;
  • send unsafe, deceptive, abusive, or unauthorized commands to a physical system;
  • use the Services as the sole safety mechanism for a device, facility, vehicle, medical use, or other system where failure could cause injury or material damage.

You remain responsible for electrical and mechanical safety, risk assessment, testing, deployment approval, human supervision, emergency stops, fail-safe behavior, compliance, and the consequences of device operation. Senytics does not certify your hardware or intended use.

7. Third-party services and open source

The Services may interoperate with hardware vendors, repositories, cloud infrastructure, payment providers, identity providers, or other third parties. Their services and terms are separate, and Senytics is not responsible for a third party’s systems or changes outside our control. Open-source components remain governed by their applicable licenses.

8. Plans, payments, renewals, and taxes

The pricing page, checkout disclosures, order, or signed agreement identifies the applicable plan, billing period, included capacity, renewal, cancellation, refund, tax, and payment terms. You authorize the disclosed charges and must keep billing information current. Except where law or the applicable order requires otherwise, fees already due are non-refundable.

Senytics may change future prices or packaging with reasonable advance notice appropriate to the service and applicable law. A change does not alter an already-paid fixed term unless the governing order permits it.

9. Service changes and availability

Senytics may improve, replace, or discontinue features and may perform maintenance. We do not promise uninterrupted or error-free operation unless a signed service-level agreement expressly says so. Where practical, we will communicate material changes that affect an active paid service through the account, email, documentation, or another appropriate channel.

10. Suspension and termination

You may stop using the Services and close an account through available controls or by contacting us. Senytics may restrict or suspend access when reasonably necessary for security, law, nonpayment, abuse, risk to physical systems, or a material breach. We may terminate controlled early access at our discretion. Where circumstances permit, we will provide notice and a reasonable opportunity to remedy a remediable breach.

On termination, your right to use the affected Services ends. Terms concerning ownership, payment, responsibility, disclaimers, liability, and other provisions that by nature should survive will continue. Data handling after termination follows the Privacy Notice and any applicable customer agreement.

11. Intellectual property and feedback

Senytics and its licensors retain rights in the Services, documentation, brands, designs, and service improvements. No implied license is granted. If you voluntarily provide feedback, Senytics may use it to develop and improve products without an obligation to implement it or compensate you, while respecting confidentiality duties in a separate agreement.

12. Disclaimers

To the extent permitted by law, the Services are provided “as is” and “as available”. Senytics disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage. We do not warrant that the Services will be uninterrupted, error-free, compatible with every hardware combination, or sufficient to satisfy your legal, safety, or regulatory obligations.

13. Limitation of liability

To the maximum extent permitted by law, Senytics is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business interruption, loss of data, device downtime, property damage, or costs arising from unsafe or unauthorized physical operation. Nothing in these Terms limits liability that applicable law does not permit a party to limit or exclude. A signed customer agreement may state additional exclusions, remedies, and monetary limits.

14. General terms and contact

You may not assign these Terms without Senytics’ consent, except as permitted in a signed agreement. Senytics may assign them as part of a reorganization, financing, merger, acquisition, or sale of relevant business assets. Failure to enforce a provision is not a waiver. If a provision is unenforceable, the remaining provisions continue. Events beyond reasonable control may excuse delayed performance.

Questions about these Terms can be sent to contact@senytics.comor submitted through the legal contact form.
